Terms of service

These Terms of Service ("Terms") govern your use of Nuvouch websites, mobile apps, APIs, SDKs, dashboards, integrations, and related services (the "Services"). By accessing or using the Services, you agree to these Terms. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

If you do not agree to these Terms, do not use the Services.

Nuvouch helps people review and respond to sensitive requests from connected apps and services, such as payments, logins, account access, data exports, runtime access, and other actions that benefit from a human approval step. The Services may include request inboxes, device registration, push notifications, audit history, account connections, runtime controls, developer APIs, and business dashboards.

Nuvouch is a review and approval tool. It does not guarantee that every request is legitimate, that every risk signal is complete, or that every third-party service will behave correctly. You are responsible for deciding whether to approve, deny, revoke, or ignore a request.

You are responsible for safeguarding credentials and for activity under your account. You must provide accurate information and keep it current. You must not share access in a way that bypasses security controls or allows unauthorized people to approve requests.

We may refuse, suspend, limit, or revoke access if we believe it is necessary to protect users, connected services, Nuvouch, or the public, or if you violate these Terms.

You agree not to misuse the Services. You must not attempt to bypass security, interfere with systems, overload infrastructure, scrape in violation of our policies, reverse engineer non-public parts of the Services, submit malicious code, impersonate others, misrepresent requests, or use the Services for unlawful, harmful, deceptive, abusive, or privacy-invasive activity.

You must not use Nuvouch to request or approve actions that you do not have authority to take.

Third-party applications, organizations, runtime providers, payment providers, identity providers, and other connected services are not controlled by Nuvouch. Your relationship with those providers is separate, and their terms, privacy policies, permissions, fees, and support obligations may apply to you.

If you connect a third-party service, you authorize Nuvouch to exchange the information needed to provide the requested integration. You can revoke or disconnect integrations where the product provides that control.

If you download Nuvouch from Apple's App Store, TestFlight, Google Play, or another app marketplace, your use may also be governed by that marketplace's terms. The marketplace provider is not responsible for supporting Nuvouch unless its own terms say otherwise.

Mobile features such as push notifications, biometric prompts, passkeys, device attestation, and local device storage depend on your device, operating system, and settings. Some features may be unavailable on certain devices, simulators, regions, networks, or beta builds.

Beta, TestFlight, preview, or early-access versions may be incomplete, unstable, or changed without notice. You should not rely on beta builds for emergencies, regulated workflows, or any situation where a delay, error, missing notification, or incorrect decision would cause serious harm.

Nuvouch and its licensors retain all rights in the Services, branding, and documentation. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to use the Services for your personal or internal business purposes, or as otherwise agreed in writing.

You retain ownership of content and data you submit to the Services. You grant Nuvouch the rights needed to host, process, transmit, display, secure, and support that content as necessary to provide the Services.

Our Privacy policy explains how we collect, use, share, and protect personal information. By using the Services, you acknowledge that we process information as described there.

Some Services may be free, and some may require payment or a paid plan. If you purchase a paid service, you agree to the pricing, billing, renewal, cancellation, and tax terms shown at checkout or in the applicable order, invoice, or plan page. Except where required by law or stated in writing, fees are non-refundable.

You may stop using Nuvouch at any time. You may request account deletion through our account deletion request page or by contacting us.

We may suspend or terminate access if you violate these Terms, create risk for the Services or other users, or if we need to comply with law. After termination, provisions that by their nature should survive will continue, including intellectual property, disclaimers, limits of liability, indemnity, and dispute terms.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, TO THE MAXIMUM EXTENT PERMITTED BY LAW. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT REQUEST DETAILS, RISK SIGNALS, NOTIFICATIONS, OR THIRD-PARTY INTEGRATIONS WILL ALWAYS BE ACCURATE OR AVAILABLE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NUVOUCH AND ITS SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID TO NUVOUCH FOR THE SERVICES IN THE 12 MONTHS BEFORE THE CLAIM, OR USD 100 IF YOU HAVE NOT PAID US FOR THE SERVICES.

You will defend and indemnify Nuvouch against claims, damages, liabilities, and expenses arising from your use of the Services, your integrations, your submitted content, your violation of these Terms, or your violation of law or third-party rights, subject to applicable law.

These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict-of-law principles, except where mandatory consumer protection law requires otherwise. Courts located in Nigeria will have exclusive jurisdiction, unless a different forum is required by applicable law.

We may modify these Terms from time to time. If changes are material, we will provide notice as appropriate. Continued use after the effective date constitutes acceptance of the updated Terms.
